The Soltrix website and services are owned by JVentureX LLC d/b/a Soltrix (“Soltrix,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern the use of this website or any other Soltrix website or service (APIs, mobile applications, and all related tools, features, and functionalities) (collectively, the “Services”).

1. Introduction

You acknowledge that you have read and understood, and agree to be bound by, these Terms of Use. You also agree to comply with all applicable laws and regulations, including United States Copyright and Trademark laws. If you do not agree to these Terms of Use, our Privacy Policy, or our Content Prohibitions Policy, you may not access or use the Soltrix Services.

We do not have custody or control over the digital tokens, blockchains, or third parties you engage with, nor do we execute or facilitate purchases, transfers, or sales of NFTs or other tokens.

2. Updates to the Terms

At any time, Soltrix may, at its sole discretion, revise, update, modify, or discontinue any part of these Terms of Use in whole or in part by posting revised terms on the Soltrix website. We will notify you of such changes by posting the modified version on our website and indicating the date it was last modified, and, if the changes are significant, we will provide a more prominent notice. The date these Terms of Use were last modified is at the bottom of this page. You are encouraged to visit the Soltrix website periodically to view the latest version of these Terms of Use. All changes are effective immediately and apply to all access to and use of the Service. Your continued use of the Soltrix website or Service after any revised Terms of Use are posted on the website means that you accept and agree to the changes and updated Terms of Use.

3. Using the Services

Your Blockchain Identity

Your blockchain address may serve as your identity with the Services. Your Soltrix account (“Account”) is linked to your blockchain address and displays the NFTs associated with it.

Use on Behalf of Other Parties

If you are using the Services on behalf of an entity, you represent and warrant that:

You are authorized to bind the entity to these Terms.
You agree to these Terms on behalf of the entity.

Third-Party Wallets

Soltrix does not operate, maintain, or have any custody or control over wallets or their contents.
You are solely responsible for securing your wallet, including keeping your credentials and seed phrase confidential.

By using your wallet in connection with Soltrix, you agree to abide by the terms and conditions of the wallet provider.

Account Security and Responsibility

Your Account security is your responsibility. Soltrix is not liable for any actions or omissions by you or others that may compromise your Account. If you suspect any security issues related to your Account or the Services, you agree to notify Soltrix immediately.

Compliance with Laws and Government Sanctions

By using the Services, you represent and warrant that you will comply with all applicable laws. You are explicitly NOT permitted to use or access the Services if any of the following apply:

You are located in, ordinarily resident in, or represent an entity organized under the laws of a U.S.-sanctioned country.
You are subject to sanctions imposed by the U.S. Government, any other government, or the United Nations.
You are owned or controlled by any sanctioned party or entity in a U.S.-sanctioned country.
Any of your officers, managers, directors, shareholders, or authorized representatives are sanctioned or in a sanctioned country.
You transact with or on behalf of any person or entity subject to sanctions or the above categories.

These representations must remain true for the duration of your use of the Services. You further agree not to enable access to or use of the Services for any person or entity that falls into any of the categories above.

Additional Information for Legal Requirements

Soltrix may require you to provide additional information and documents in certain circumstances, such as upon request by the government or to comply with applicable laws or regulations. Soltrix may restrict or disable your Account until these requests are satisfied.

Services Disruptions and Modifications

Your access to the Services may be interrupted due to, without limitation:

Equipment malfunctions, updates, maintenance, or repairs.
Geographic restrictions or potential violations of these Terms.
Actions taken by Soltrix, at its sole discretion, to protect users or the Services.

Soltrix may modify, suspend, or discontinue the Services (or any part, including the API) at any time without prior notice or liability. We may also disable your Account and reassign your username and associated URLs at our discretion.

Age Restrictions

Users must be at least 18 years old to use the Services. If you are between 13 and 18 years old, you may only use Soltrix with a parent or guardian’s Account, provided they approve and oversee your use. Soltrix strictly prohibits access by users under 13 years old.

4. Soltrix’s Ownership of the Services

Soltrix’s Intellectual Property

Unless otherwise indicated, all applicable materials on the Soltrix website are copyrighted by Soltrix. All rights reserved. Soltrix’s names, logos, marks, and trade dress are protected. Any unauthorized use is strictly prohibited without prior written permission.

License to Use the Services

Soltrix grants you a limited, nonexclusive, nontransferable, nonsublicensable, and personal license to access and use the Services, subject to these Terms, including:

Accessing and displaying software, content, or materials for your personal, non-commercial use.
Downloading a copy of the Soltrix mobile app solely to enable your use of the Services.

This license does not grant ownership rights. Use of content linked to NFTs or other digital items is subject to rights set by the seller or creator.

Third-Party Intellectual Property

All other trademarks and intellectual property referenced are the property of their respective owners. Soltrix does not claim ownership over such third-party IP and disclaims responsibility for their operation, functionality, or legality.

5. Third-Party Content

The Services may include links or access to public blockchains, third-party websites, applications, code, or other content (“Third-Party Content”). Soltrix does not maintain, control, endorse, or review Third-Party Content and is not responsible for it. Use at your own risk.

NFTs and other digital items exist on public blockchains and are purchased, sold, and transferred outside of Soltrix. Sellers determine pricing and terms (including taxes and minting mechanics). Soltrix may receive certain fees for its Services but does not set or collect creator earnings/royalties, blockchain fees, or payment-processor fees.

6. Your Information, Content, and Grant of License to Soltrix

Privacy Policy

Please refer to our Privacy Policy for information about how we collect, use, and share information from or about you. By using the Services, you consent to our processing as described there.

User-Provided Content

You are solely responsible for content you create, submit, post, promote, or display on or through the Services and for compliance with laws and these Terms.

You have all rights necessary to grant the license below.
Your content does not violate IP, publicity, or other rights and does not violate any law.
You are responsible for the legality and accuracy of metadata associated with your NFTs and digital items.

Grant of License to Soltrix

By using the Services with content, you grant Soltrix a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, modify, and display your content to operate, promote, and improve the Services. Ownership remains with you.

Your Feedback

By providing feedback, you assign to Soltrix all rights to such feedback, and Soltrix may use it for any purpose without compensation or notice.

7. Intellectual Property Violations and Ownership Disputes

To report illegal content or submit takedown notices, see our Prohibited Content and Disputed Items Policy. Soltrix may restrict visibility or transferability of items per policy and legal requirements. These actions are not legal determinations.

8. User Conduct

We may take action, with or without notice, if we determine at our sole discretion that you violated these Terms or may be using the Services unlawfully (including removal, restriction, or disabling access).

Perform your own due diligence for transactions.
Do not use another user’s account or impersonate others.
Do not bypass blocks, distribute spam, or disrupt the Services.
Do not reverse engineer, scrape, or circumvent access controls or fees.
Do not manipulate prices, metrics, or engage in fraud.
Do not buy/sell stolen or fraudulently obtained items.
Do not post illegal or prohibited content.

Soltrix may monitor or restrict content at its discretion but has no duty to police or enforce on your behalf.

9. Mobile App Specific Terms

You are responsible for your device and connectivity. For iOS users, Apple’s Standard EULA applies in addition to these Terms; in any conflict, Apple’s EULA governs solely for iOS use.

10. Liability, Indemnification, and Assumption of Risk

Indemnification

You agree to defend, indemnify, and hold harmless Soltrix and its affiliates from any claims, including reasonable attorneys’ fees, arising from your use of the Services or your breach of these Terms.

Disclaimers

THE MATERIALS AND INFORMATION PROVIDED BY SOLTRIX ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SOLTRIX DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU USE THE SERVICES AT YOUR OWN RISK.

Assumption of Risk

NFT and crypto volatility; you may lose money.
All blockchain fees are final and non-refundable.
Ownership disputes may arise.
Ecosystem, regulatory, tax, security, and third-party dependency risks apply.
Soltrix may hide or make inaccessible affected collections or items.

Limitation of Liability

To the fullest extent permitted by law, Soltrix and its affiliates will not be liable for indirect, incidental, special, or consequential damages. Overall liability shall not exceed the greater of $100 or the amount Soltrix directly received from you in the transaction giving rise to the claim.

11. Arbitration Agreement

Any disputes arising out of or relating to these Terms shall be finally resolved by arbitration under the American Arbitration Association Rules. One arbitrator; venue: Harris County, Texas, USA.

Jury Trial Waiver: You waive the right to a jury trial.
Class Action Waiver: Claims must be brought individually.

If any part is invalid, the remainder survives. This agreement survives termination.

12. Governing Law and Venue

Texas law governs. If arbitration is inapplicable, disputes must be brought in the courts of Harris County, Texas. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

13. Termination

Soltrix may suspend, restrict, disable, terminate, or delete your Account or access to the Service at any time, with or without notice, for any or no reason. No refunds for amounts already paid. Provisions intended to survive termination will remain in effect.

14. Miscellaneous Terms

Severability: Invalid provisions do not affect the remainder.
Remedies: Soltrix may seek equitable relief for breaches.
Entire Agreement: These Terms and referenced policies are the entire agreement.
Assignment: You may not assign without consent; Soltrix may assign freely.
Waiver: Failure to enforce is not a waiver.
Headings: For convenience only.
Interpretation: “Including” means “without limitation,” etc.
No Third-Party Beneficiaries: Except as explicitly provided (e.g., Apple for iOS EULA).
